WARRANTY

DEALER, SERVICE PROVIDER, AND DISTRIBUTOR WARRANTY AND RETURNS


ReadyNet warrants all goods delivered or provided to be free from defect in materials or workmanship for one year from shipment by ReadyNet. Any Warranty given by ReadyNet shall not apply to any unit which: (i) is used or operated in any manner or subjected to any condition not consistent with its intended purpose or accepted industry practice, including, without limitation, any electrical surge, over-voltage, or other electrical irregularity; (ii) is modified in any way other than as approved in writing by ReadyNet, including, without limitation, by the installation or use of any part or component manufactured or otherwise provided by any other party, if such part or component contributes to the defective condition or the breach of Warranty; (iii) is repaired in any manner so as to adversely affect its operation or reliability by persons other than ReadyNet or its agent; (iv) is damaged as a result of any shipping or transportation after delivery; or (v) is installed in a manner or subjected to any condition or environment so as to adversely affect its operation or reliability. 


Claims under the terms of this Warranty shall be submitted in writing to ReadyNet (email to account representative and to customerservice@readynetsolutions.com), and include the unit model number, serial number, and a description of the problem. ReadyNet will issue a Return Material Authorization (RMA) number. The RMA must be included with the defective unit when submitting the unit for repair or replacement. Defective units returned to ReadyNet under this Warranty shall be properly and adequately packaged and sent to ReadyNet's designated facility and shall be shipped prepaid by Buyer. At ReadyNet's election, defective units shall either be repaired or replaced, and shall be returned prepaid to Buyer.

DISCLAIMER OF WARRANTY

 

EXCEPT AS SPECIFIED IN THIS WARRANTY, ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, NON-INTERFERENCE, ACCURACY OF INFORMATIONAL CONTENT, OR ARISING FROM A COURSE OF DEALING, LAW, USAGE, OR TRADE PRACTICE, ARE HEREBY EXCLUDED TO THE EXTENT ALLOWED BY APPLICABLE LAW AND ARE EXPRESSLY DISCLAIMED BY READYNET, ITS SUPPLIERS, AND LICENSORS.

 

READYNET DOES NOT WARRANT THAT THE OPERATION OF THE PRODUCTS WILL BE UNINTERRUPTED OR ERROR-FREE. READYNET DOES NOT WARRANT ANY PRODUCTS THAT HAVE BEEN OPERATED IN EXCESS OF SPECIFICATIONS, DAMAGED, MISUSED, NEGLECTED, OR IMPROPERLY INSTALLED. NEITHER READYNET NOR ITS THIRD-PARTY PROVIDERS CONTROL USER’S EQUIPMENT OR THE TRANSFER OF DATA OVER COMMUNICATIONS FACILITIES, INCLUDING CELLULAR AND INTERNET, AND USER HEREBY ACKNOWLEDGES THAT THE PRODUCTS AND SERVICES MAY BE SUBJECT TO LIMITATIONS, INTERRUPTIONS, DELAYS, CANCELLATIONS AND OTHER PROBLEMS INHERENT IN THE USE OF COMMUNICATIONS FACILITIES.

 

NO PERSON IS AUTHORIZED TO WAIVE OR MODIFY THE TERMS OF THIS WARRANTY AND NO ORAL OR WRITTEN REPRESENTATIONS MADE BY READYNET OR AN AGENT THEREOF SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS SHALL NOT APPLY TO ANY TRANSACTIONS REGARDING THE SALE OF THE PRODUCT.


GOVERNING LAW, JURISDICTION, AND VENUE


This Warranty shall in all respects be governed by and interpreted under the laws of the State of Utah (without regard to the conflicts of laws provisions thereof or the UN Convention on the International Sale of Goods). Any judicial proceeding to resolve claims relating to this Warranty will be brought in the courts of Utah, Salt Lake County, or the U.S. District Court for Utah. ReadyNet reserves the right to institute proceedings relating to this Warranty in the courts having jurisdiction in the places where a user resides, does business, has assets, or in any jurisdiction where a harm to ReadyNet is occurring or has occurred.
